Supplier Code of Conduct as provided to our Suppliers

Dear Valued Supply Partner,

Bidz.com merchandise, and through us, your products, reach millions of men, women and children, and our commitment to society goes well beyond the products we provide. Our goal is to improve the quality of daily life for all the people we touch; customers, suppliers, and those that work for our suppliers. Being socially responsible is central to this commitment and the reason why we are committed to having a Supplier Code of Conduct.

We have always integrated ethical concerns into our business practices. In light of this, we have formalized a Supplier Code of Conduct to articulate our expectations of those businesses with which we have continuing supply relationships.

We expect and trust that you will honor the ethical and social principles and practices evidenced in our Supplier Code of Conduct, both in fact and spirit. In the future, all contracts and contract amendments will incorporate language indicating receipt and compliance with the ethical, social and legal principles and practices in our Supplier Code of Conduct.

Please communicate these expectations throughout your organization as appropriate. Thank you for your cooperation and as always, your continued relationship with Bidz.com.

INTRODUCTION

This Supplier Code of Conduct sets forth our expectation of suppliers, vendors, contractors (collectively referred to as “Suppliers”) and others with whom Bidz.com and its subsidiaries or divisions conducts business with respect to sound and responsible ethical, and social practices. Bidz recognizes that there are different legal and cultural environments in which Suppliers operate throughout the world. Regardless, this Supplier Code of Conduct sets forth the minimum expectations that Suppliers should meet to do business with Bidz.com. In order to comply with these requirements, Suppliers should communicate the principles of this, or a similar Supplier Code of Conduct throughout their supply chain.


SUPPLIER CODE OF CONDUCT:


FORCED LABOR

Forced, bonded or indentured labor or involuntary prison labor shall not to be used. All work will be voluntary, and workers shall be free to leave upon reasonable notice. Workers shall not be required to hand over government-issued identification, passports or work permits to the Participant or Labor Agent as a condition of employment.

CHILD LABOR AVOIDANCE

Child labor is not to be used in any stage of manufacturing. The term “child” refers to any person under the age of 15 (or 14 where the law of the country permits), or under the age for completing compulsory education, or under the minimum age for employment in the country, whichever is greatest. The use of legitimate workplace apprenticeship programs, which comply with all laws and regulations, is supported. Workers under the age of 18 shall not perform work that is likely to jeopardize the health or safety of young workers.


WAGES AND BENEFITS

Suppliers shall not pay less than the minimum wage in accordance with local laws. Where the local laws do not set a minimum wage, Suppliers shall pay the prevailing market wage.

WORKING HOURS

Suppliers shall maintain reasonable employee work hours in compliance with local standards and applicable national laws of the countries and regions in which the Supplier does business.

DISCIPLINARY PRACTICES/COERCION

Suppliers shall not inflict or threaten to inflict corporal punishment or any other forms of coercion on any employees.

COMMUNICATION

Suppliers should take appropriate steps to ensure that the principles of this Code are communicated to their employees and throughout their own supply chains. Suppliers should also take appropriate steps to ensure that the principles of this Code are adopted and applied by their employees, suppliers, agents and contractors to the extent applicable.
